Eligibility & Authority — Individual Users

If you are using the Services for your own purposes, you represent and warrant that:

• You are at least 18 years of age or have reached the age of majority in your jurisdiction.
• You have the legal capacity to enter into this Agreement.

Eligibility & Authority — Business Users

If you use the Services on behalf of a company or organization, you represent and warrant that:

• You have the authority to bind that entity to this Agreement.
• The entity agrees to comply with these Terms.

Agreement Effective Date

This Agreement becomes effective upon the earliest of:

• Accessing or using the Services.
• Clicking an “I Accept,” “Sign Up,” or similar button indicating acceptance.

By using the Services, you also consent to the collection, storage, use, and processing of your information in accordance with our Privacy Policy.

Third-Party Dependency

The Platform relies on third-party services and infrastructure that are outside the control of Aurify Technology L.L.C. Changes to the policies, pricing, APIs, availability, or technical limitations of Meta, WhatsApp, or other providers may affect the functionality or availability of the Services.

3.1 Custom Pricing

Aurify Connect is offered as part of a client's Bullion Pro subscription and is not available for self-service purchase. Access to the Services, including applicable fees, is agreed between the client and Aurify Technology L.L.C. on a custom basis, based on the client's business requirements, and set out in a separate order form, proposal, or commercial agreement (“Agreement”) signed by both parties. Fees may vary by client and are not published on the Website or App.

3.2 Meta & WhatsApp Charges

Charges imposed directly by Meta, WhatsApp, or other third-party providers — including conversation-based, messaging, template, or usage-based charges — are separate from any fees payable to Aurify Technology L.L.C. under the Agreement, unless expressly stated otherwise in writing. The Company does not control, and assumes no responsibility for, Meta's pricing, billing policies, or any changes to them.

3.3 Invoicing and Payment

Invoices are issued in accordance with the payment terms set out in the client's Agreement. Unless otherwise agreed in writing, invoices are payable within 15 days from the invoice date.

3.4 Non-Payment

Failure to pay any invoice by its due date may result in suspension, restriction, or termination of access to the Services, at the Company's discretion, following reasonable notice to the client.

3.5 Refunds

Fees paid under an Agreement are non-refundable unless otherwise expressly agreed in writing between the client and the Company.

Account Responsibility

You are solely responsible for ensuring compliance with Meta and WhatsApp policies. Violation of these policies may result in restrictions or suspension of your WhatsApp account. Aurify Technology L.L.C shall not be liable for any suspension, limitation, or termination imposed by Meta or WhatsApp.

Additional Exclusions

The Company shall also not be responsible for:

• Service interruptions caused by third-party providers.
• Downtime resulting from Meta, WhatsApp, cloud infrastructure, internet providers, or telecommunications failures.
• Unauthorized access resulting from your failure to maintain the confidentiality of your account credentials.

Entire Agreement

This Agreement constitutes the complete understanding between you and the Company regarding the Services and supersedes all prior agreements and communications relating to its subject matter.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates.
